Terms of Service

1. Definitions

• "Account" means the account you create to access and use the Service.
• "Customer Data" means all data, content, and information you submit to the Service or that is collected from your connected third-party platforms via integrations.
• "Subscription" means a recurring paid plan that provides access to the Service during the applicable subscription period.
• "User" means any individual who accesses or uses the Service under your Account.
• "Third-Party Services" means third-party platforms, APIs, or services that you connect to the Service, including but not limited to Shopify, Amazon Seller Central, Meta Ads, Google Ads, Klaviyo, and others.

2. Eligibility and Account Registration

You must be at least 18 years of age to use the Service. By agreeing to these Terms, you represent and warrant that you are at least 18 years old and that your use of the Service complies with all applicable laws and regulations.

You must provide accurate, current, and complete information during the registration process and keep your account information up to date. You are responsible for safeguarding your account credentials and for all activity that occurs under your Account. You must notify us immediately at support@dashified.com if you suspect unauthorized access to your Account.

We reserve the right to suspend or terminate accounts that contain inaccurate or fraudulent information, or where we suspect unauthorized use.

3. Subscriptions and Billing

3.1 Subscription Plans

Dashified offers multiple subscription tiers. Details of each plan, including features and pricing, are available at dashified.com/pricing. We reserve the right to modify pricing with at least 30 days' advance notice to subscribers.

3.2 Free Trial

We may offer a free trial period for new accounts. At the end of the free trial, your subscription will automatically convert to a paid plan unless you cancel before the trial period ends. No credit card is required to begin a free trial, but you will be required to provide payment information before the trial ends to continue using the Service.

3.3 Payment

All fees are payable in advance. Subscriptions are billed monthly or annually depending on the plan you select. By providing payment information, you authorize us (or our payment processor) to charge your payment method for all applicable fees on a recurring basis until you cancel. All payments are non-refundable except as expressly stated in our Refund Policy at dashified.com/refund.

3.4 Taxes

All fees are exclusive of applicable taxes. You are responsible for all taxes, levies, or duties imposed by taxing authorities in connection with your use of the Service, excluding taxes on Dashified's net income.

3.5 Cancellation

You may cancel your subscription at any time from your account settings. If you cancel a monthly subscription, your access will continue until the end of the current billing period and will not renew. If you cancel an annual subscription, please refer to our Refund Policy for applicable terms.

3.6 Upgrades and Downgrades

You may upgrade your plan at any time, and the new rate will take effect immediately with prorated billing. Downgrades take effect at the start of the next billing period. Dashified reserves the right to restrict features or storage if your usage exceeds your plan's limits.

4. Use of the Service

4.1 Permitted Use

Subject to these Terms and payment of applicable fees, Dashified grants you a limited, non-exclusive, non-transferable, revocable license to access and use the Service for your internal business purposes during the subscription period.

4.2 Prohibited Conduct

You agree not to:

• Use the Service in any manner that violates applicable laws, regulations, or the rights of any third party;
• Attempt to gain unauthorized access to any portion of the Service, other accounts, or any systems or networks connected to the Service;
• Reverse engineer, decompile, disassemble, or attempt to derive the source code of any part of the Service;
• Sell, resell, sublicense, or otherwise make the Service available to third parties in a manner not expressly permitted by these Terms;
• Use the Service to transmit any unsolicited commercial communications, spam, or malware;
• Interfere with or disrupt the integrity or performance of the Service or third-party data contained therein;
• Use automated scripts, bots, or scrapers to access the Service except through our official API and subject to applicable rate limits;
• Remove or obscure any proprietary notices, logos, or branding within the Service.

5. Third-Party Integrations

The Service integrates with Third-Party Services to import your data. By connecting a Third-Party Service, you authorize Dashified to access and process your data from that service on your behalf using read-only API connections. Dashified will not write data to your Third-Party Services without your explicit authorization for any feature that requires write access.

You are solely responsible for your use of Third-Party Services and for complying with the terms of service of those platforms. Dashified is not responsible for the accuracy, availability, or reliability of Third-Party Services, and any interruption in a Third-Party Service may affect your use of the Service.

Dashified does not endorse any Third-Party Services and is not responsible for any loss or damage arising from your use of, or reliance on, Third-Party Services.

6. Data and Privacy

Your privacy is important to us. Our Privacy Policy at dashified.com/privacy describes how we collect, use, and share information about you when you use the Service. By using the Service, you agree to the collection and use of information as described in the Privacy Policy.

You retain all rights to your Customer Data. By using the Service, you grant Dashified a limited, non-exclusive license to process, store, and display your Customer Data solely as necessary to provide the Service to you. We will not sell, share, or use your Customer Data for any purpose other than providing and improving the Service, as described in our Privacy Policy.

You represent and warrant that you have the right to provide all Customer Data you submit to the Service, and that doing so does not violate any applicable law or any third party's rights.

7. Intellectual Property

The Service and all content, features, and functionality thereof — including but not limited to software, text, graphics, logos, icons, images, audio clips, and the Dashified name and trademarks — are owned by Dashified, Inc. or its licensors and are protected by copyright, trademark, patent, and other intellectual property laws.

Nothing in these Terms grants you any right, title, or interest in or to the Service, its content, or Dashified's intellectual property except the limited license expressly granted in Section 4.1.

If you submit feedback, suggestions, or ideas about the Service ("Feedback"), you grant Dashified an irrevocable, perpetual, worldwide, royalty-free license to use, modify, and incorporate such Feedback into the Service without any obligation of compensation or attribution to you.

8. Confidentiality

Each party may have access to confidential information of the other party in connection with these Terms ("Confidential Information"). Each party agrees to protect the other's Confidential Information with the same degree of care it uses to protect its own confidential information (but no less than reasonable care) and not to disclose such Confidential Information to third parties without prior written consent, except as required by law.

9. Disclaimers

THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED. DASHIFIED DISCLAIMS ALL WARRANTIES, INCLUDING BUT NOT LIMITED TO IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT.

DASHIFIED DOES NOT WARRANT THAT THE SERVICE WILL BE UNINTERRUPTED, ERROR-FREE, OR FREE OF HARMFUL COMPONENTS. THE AI-GENERATED INSIGHTS, RECOMMENDATIONS, AND SUMMARIES PROVIDED BY THE SERVICE ARE FOR INFORMATIONAL PURPOSES ONLY AND DO NOT CONSTITUTE FINANCIAL, LEGAL, OR PROFESSIONAL ADVICE. YOU RELY ON SUCH INFORMATION AT YOUR OWN RISK.

DASHIFIED MAKES NO REPRESENTATIONS ABOUT THE ACCURACY OR COMPLETENESS OF DATA RETRIEVED FROM THIRD-PARTY SERVICES. SUCH DATA ACCURACY IS DEPENDENT ON THE THIRD-PARTY PLATFORM AND THEIR API.

10. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, IN NO EVENT SHALL DASHIFIED, ITS DIRECTORS, EMPLOYEES, PARTNERS, AGENTS, SUPPLIERS, OR AFFILIATES BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING WITHOUT LIMITATION LOSS OF PROFITS, DATA, USE, GOODWILL, OR OTHER INTANGIBLE LOSSES, RESULTING FROM:

• YOUR ACCESS TO OR USE OF (OR INABILITY TO ACCESS OR USE) THE SERVICE;
• ANY CONDUCT OR CONTENT OF ANY THIRD PARTY ON THE SERVICE;
• ANY CONTENT OBTAINED FROM THE SERVICE; OR
• UNAUTHORIZED ACCESS, USE, OR ALTERATION OF YOUR TRANSMISSIONS OR CONTENT.

IN ANY CASE, DASHIFIED'S AGGREGATE LIABILITY TO YOU FOR ALL CLAIMS ARISING UNDER OR IN CONNECTION WITH THESE TERMS SHALL NOT EXCEED THE GREATER OF (A) THE AMOUNT YOU PAID DASHIFIED IN THE 12 MONTHS PRECEDING THE CLAIM, OR (B) ONE HUNDRED U.S. DOLLARS ($100).

11. Indemnification

You agree to defend, indemnify, and hold harmless Dashified and its officers, directors, employees, contractors, and agents from and against any claims, liabilities, damages, judgments, awards, losses, costs, expenses, or fees (including reasonable attorneys' fees) arising out of or relating to your violation of these Terms or your use of the Service, including but not limited to your Customer Data, any use of the Service's content, and any connection of Third-Party Services.

12. Term and Termination

These Terms are effective as of the date you first access the Service and remain in effect until terminated. You may terminate your account at any time by canceling your subscription and ceasing use of the Service.

Dashified may suspend or terminate your access to the Service immediately, without prior notice or liability, for any reason, including if you breach these Terms. Upon termination, your right to use the Service ceases immediately. Provisions of these Terms that by their nature should survive termination shall survive, including but not limited to Sections 7, 9, 10, 11, and 14.

Upon termination, we will retain your Customer Data for 30 days, during which time you may export your data. After 30 days, we will delete your Customer Data from our systems, except as required by law.

13. Modifications to the Service and Terms

We reserve the right to modify or discontinue the Service (or any part thereof) at any time with reasonable notice. We will not be liable to you or any third party for any modification, suspension, or discontinuation of the Service.

We reserve the right to modify these Terms at any time. We will notify you of material changes by email or by posting a notice within the Service at least 14 days before the changes take effect. Your continued use of the Service after the effective date of any modification constitutes your acceptance of the modified Terms.

14. Governing Law and Dispute Resolution

These Terms shall be governed by and construed in accordance with the laws of the State of Delaware, United States, without regard to its conflict of law provisions.

Any dispute arising out of or in connection with these Terms or your use of the Service shall first be subject to good-faith negotiation between the parties. If the dispute cannot be resolved through negotiation within 30 days, it shall be resolved by binding arbitration administered by the American Arbitration Association under its Commercial Arbitration Rules, with proceedings conducted in English. The arbitration shall take place in Wilmington, Delaware. Either party may seek injunctive or other equitable relief in any court of competent jurisdiction for claims involving intellectual property rights or breaches of confidentiality obligations.

YOU AGREE THAT ANY DISPUTE RESOLUTION PROCEEDINGS WILL BE CONDUCTED ONLY ON AN INDIVIDUAL BASIS AND NOT IN A CLASS, CONSOLIDATED, OR REPRESENTATIVE ACTION.

15. General

Entire Agreement. These Terms, together with our Privacy Policy and Refund Policy, constitute the entire agreement between you and Dashified regarding the Service and supersede all prior agreements.

Severability. If any provision of these Terms is found to be unenforceable, that provision will be modified to the minimum extent necessary to make it enforceable, and the remaining provisions will continue in full force.

Waiver.Dashified's failure to enforce any right or provision of these Terms will not be deemed a waiver of such right or provision.

Assignment.You may not assign these Terms or your rights hereunder without Dashified's prior written consent. Dashified may assign these Terms in connection with a merger, acquisition, or sale of assets.
